This letter is written with reference to the following goods: [Description of goods], purchased by you under our contract of sale dated [Date of agreement] and identified to the contract when made.
Please be advised that, without fault on our part and prior to the passing of title to you, the above-described goods suffered the following casualty: [Description of events resulting in loss of the goods].
The loss was partial, with the following goods still remaining in conforming condition: [describe remaining goods].
Pursuant to [cite local enactment of UCC $ 2-613.a], you have the right to inspect the remaining goods. We request that you conduct your inspection not later than [date]. The goods are located at [Location of goods].
If our request that you inspect the goods not later than [Date of inspection] is inconvenient, please contact us at your earliest convenience. In the event you fail or do not choose to inspect, we shall assume that you have elected to consider the contract void and are not interested in the possible acceptance of such goods as remain with due allowance from the contract price.
